2. Exclusive Agent Policy
Conditions to be exclusive agent
(1) To be exclusive agent of our company, for the customer, entertainment lighting or architectural lighting should have been within its main business, or will be its main business in the near future.
(2) To be exclusive agent of our company, the customer has to provide the relevant business license, legal person certificate.
(3) The number of the staff which is specialized in dealing entertainment lighting or architectural lighting should be at least five, including one technician, three sales men, and one supervisor.
(4) The customer should provide complete commercial plan which includes the general introduction about the enterprise, local market analysis, peer competition situation, market promotion plan, and the annual sales target based on this plan.
(5) The company registered capital is at least USD200, 000.
(1) The deposit should be 10% of the total annual sales amount.
(2) If there are two customers who are competing with the exclusive agent in the same area, WOSEN will prefer to the customer who agrees with the deposit to our company.
(3) The deposit will return to the customer according to the actual sales reach rate of each contract year (Actual sales amount/target sales amount x deposit).
The rights and responsibilities to the exclusive agent
(1) The exclusive agent should take promotion with the “WOSEN” brand, and all of the products should be marked with “WOSEN”.
(2) The annual sales amount should be confirmed according to the applicant’s business proposals and our comprehensive understanding of the market.
(3) The exclusive agent should hand in the market report to us quarterly, the market report should include the sale situation, the problems, the needed support from us, and the market trends, etc.
(4) The exclusive agent has the right to deal with all the inquiries from his area except the inquiries from several old customers, we promise that the prices we offer to the exclusive agent will be not higher than the prices we offered to the old customers. We shall offer the detailed information of the old customers before we sign the contract with exclusive agent.
(5) The exclusive agent should arrange their technical staff to our company to for training every half year, to learn the latest product technology.
(6) The exclusive agent should arrange their staff to visit at factory at least one time every year.
Support items for the exclusive agent as follows
(1) All the inquiries we got from the exclusive agent market will be forwarded to the agent.
(2) According to the commercial plan, WOSEN will grant 3% of the sole agent’s yearly sales amount to the sole agent for advertising subsidy, which includes trading fairs, television media, newspaper, magazines, and website ads and so on. As long as the sole agent could show us the evidence of these advertising actions, such as pictures taken on the trading fair, copies of magazines, website links, etc., the subsidy will be granted every half year. On 1st July, The first half year’s subsidy will be fulfilled. And the second half of the subsidy only will be fulfilled by 31st December, on the condition that the agent achieved the yearly sales task or above.
(3) WOSEN could provide free advertising materials and mass project’s necessary samples as support, and the shipping costs will be paid by the sole agent.
(4) As to the world famous trading fairs, WOSEN will offer samples and pay the booth. And the exclusive agent has to cooperate with us to offer our staffs local transportation and accommodations. The customers’ inquiry from the exclusive market area will belong to the agent, and customer inquiry from other areas will belong to the Headquarter.
(5) Every year WOSEN will arrange yearly trip to visit customers as well as perform after service. And the trip also could be treated as a conference with the exclusive agent for marketing strategy.
(6) WOSEN’s website and catalogue will post our exclusive agent’s related information.
(7) WOSEN is not allowed to sell to the exclusive area directly.
(8) The price list for the exclusive agent will be among the lowest in that area, and details will be revealed in the contract. And the exclusive agent could offer constructive suggestions on price defining. The inquiries you got from your local area will be dealt with directly, while the Headquarter will deal with the mass order inquiries (above 150000USD) directly. And we will keep the agent informed, and assure to grant the agent 2% commission after the order placed in our company.
